These Terms of Service ("Terms") govern your access to and use of the Synaxi application and website (together, the "Service"), provided by Synaxi ("Synaxi," "we," "us," or "our"). By downloading, installing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 13 years old (or the minimum age in your jurisdiction) to use the Service. Some features require a free account. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity that occurs under your account.

2. License

Subject to these Terms, Synaxi grants you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the Service on devices you own or control, according to your tier (Personal, Professional, or Enterprise). This license is for your use of the Service as intended and does not transfer any ownership to you.

3. Restrictions

You agree not to:

  • Resell, sublicense, rent, or redistribute the Service;
  • Reverse-engineer, decompile, or attempt to derive the source code, except where that restriction is prohibited by law;
  • Use the Service to violate any law or the terms of any model provider you connect to;
  • Infringe the intellectual property or privacy rights of others;
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure.

4. Intellectual property

The Service, including its software, design, and branding, is owned by Synaxi and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or other brand features. Any feedback you provide may be used by us without obligation to you.

5. Third-party model providers

Synaxi forwards your requests to the AI providers you choose. Your use of those providers is governed by their own terms and policies, and we are not responsible for their services, availability, pricing, or output.

6. Paid plans and billing

The Personal tier is free. Paid tiers (Professional and Enterprise) are subject to the pricing and payment terms presented at purchase. Fees are billed in advance and, except where required by law, are non-refundable. We may change pricing for future billing periods with reasonable notice. Failure to pay may result in suspension or termination of paid features.

7. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. Provisions that by their nature should survive termination, including ownership, disclaimers, and limitations of liability, will survive.

8. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your requirements.

9. Limitation of liability

To the fullest extent permitted by law, Synaxi will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim, or USD $100 if you use the free tier.

10. Indemnification

You agree to indemnify and hold Synaxi harmless from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Service or your violation of these Terms or applicable law.

11. Governing law

These Terms are governed by the laws of the jurisdiction in which Synaxi is established, without regard to its conflict-of-laws rules. Any disputes will be resolved in the courts of that jurisdiction, unless mandatory local law provides otherwise.

12. Changes to these Terms

We may update these Terms as the Service evolves. Material changes will be reflected by the "last updated" date above and, where appropriate, communicated to you directly. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
